Thermo Fisher Scientific has successfully completed its acquisition of Clario Holdings, Inc. for $8.875 billion in cash. This strategic move integrates Clario, a leader in endpoint data solutions for clinical trials, into Thermo Fisher’s Laboratory Products and Biopharma Services segment, significantly enhancing its offerings for pharmaceutical and biotechnology clients.

The acquisition positions Thermo Fisher as a more robust partner for pharmaceutical and biotech companies, enabling faster and more informed drug development decisions. Clario’s platform, which has supported approximately 70% of novel drug approvals by the FDA and EMA over the last decade, will be integrated to enhance digital collection, management, and analysis of clinical trial endpoint data. This integration is expected to drive innovation and productivity for Thermo Fisher’s clients.

Thermo Fisher anticipates a compelling return profile from the acquisition, driven by Clario’s high growth and strong margin profile, alongside expected synergies. The company projects that the deal will contribute approximately $0.45 to adjusted earnings per share (EPS) in the first year post-acquisition. Furthermore, Thermo Fisher expects to realize around $175 million in adjusted operating income from synergies within five years, primarily through revenue enhancements unlocked by the combined capabilities.

In addition to the initial cash payment, Thermo Fisher has agreed to a $125 million payment in January 2027 and up to $400 million in potential earn-out payments contingent on Clario’s performance in 2026 and 2027. The company believes these terms will further strengthen the acquisition’s return profile. The integration of Clario is expected to be accretive to Thermo Fisher’s adjusted operating margin, with Clario’s business projected to achieve high-single-digit growth.
