Oracle Executive Chair and Chief Technology Officer Larry Ellison canceled a trading plan that would have allowed him to sell up to 50 million shares, the company disclosed in a regulatory filing on Sept. 11 and confirmed publicly the following day.

The plan, adopted June 22, 2026, under Rule 10b5-1, authorized the sale of roughly $7.5 billion in stock through Oct. 24. No shares were sold under it, and no other plans to sell Oracle stock were disclosed.

Ellison has historically sold little Oracle stock, and the plan was unusual for him. Oracle shares closed at $150.28 on Sept. 11, the day the cancellation was filed. The stock is down 22.15% year-to-date from $193.03 at year-end 2025 and 50.63% lower over the past year. Over a five-year horizon it remains up 79.3%. A person close to Ellison said he views the shares as undervalued.

The decision follows a Q1 fiscal 2027 report that reframed Oracle as a scaled AI infrastructure operator. Revenue reached $19.345 billion, up 29.61% year over year and above the $19.129 billion consensus, while adjusted earnings of $1.92 per share beat the $1.7391 estimate. Operating income climbed 57.31% and net income rose 62.62%.

Cloud Infrastructure revenue was $7.388 billion, up 121% year over year. Remaining Performance Obligations reached $664 billion, an increase of $209 billion, and Oracle booked more than $30 billion in new AI cloud contracts in the quarter. The company delivered 850 megawatts of additional datacenter capacity and more than 300,000 GPUs to customers, with renewal pricing at a 20% premium to prior contracts. Free cash flow was negative $5.396 billion as capital expenditure hit $28.499 billion.

Oracle raised guidance, now expecting fiscal 2027 revenue of at least $90 billion and non-GAAP earnings of $8.10 per share. For the second quarter, management guided total revenue growth of 30% to 34% and cloud revenue growth of 65% to 71%.

The board declared a quarterly dividend of $0.50 per share, with a record date of Oct. 9, 2026, and payment date of Oct. 23, 2026.
